This agreement ("Agreement") is entered into on , between Olivia Belle Designs ("Designer") and ("Client"), collectively referred to as "Parties," for the purpose of providing web design services as part of a Beta Offer ("Project") during the week of
1. SCOPE OF WORK
Olivia Belle Designs agrees to provide the following services:
Deliverables:
-Simple Brand Kit:
-Includes a custom color palette and fonts.
-A stamp logo.
-Custom Website:
Design and development of a custom website using the Showit platform, including a the basic pages and an optional additional 2 pages.
The base price of the package is $450. The decision to exclude the additional 2 pages will not reduce the package price.
Space for legal pages will be added (client must provide the legal content).
A guidebook for managing the Showit platform after project completion.
2. PAYMENT TERMS
The total project fee is $450, due in full after the discovery call if the Client decides to move forward with Olivia Belle Designs.
If the Client purchases through Etsy, the payment is considered complete unless there are additional charges.
If the Client chooses to pay through my website (not using Etsy), payment is due immediately following the discovery call. Payment must be received before the Client will receive the homework instructions.
Payment must be received by [Payment Due Date]. Failure to make payment within the specified time frame will result in a late fee of $300 if payment is not received within three days. An additional fee of $75 per day will be charged until payment is made in full.
If payment is not completed in time for the Client to start working on the homework, causing delays and holding back the scheduled design week, the contract will be terminated. The Client will be charged half of the original project fee ($225) to compensate for the time spent before the cancellation.
3. CLIENT EXPECTATIONS AND RESPONSIBILITIES
The Client agrees to:
Attend all scheduled meetings on time and be prepared to actively participate.
Provide all required content and information before the start of the design date. Failure to provide content will result in a fee of [Fee Amount].
Deliver the following information before the Design Kickoff Meeting on [Kickoff Date]:
Personal Showit login and password.
Domain account login information.
All images and website copy.
Business name and registered business name.
Date of business establishment.
Contact information (e.g., phone number, email, social media links) to be used on the website.

4. COMMUNICATION AND LATE FEES
Due to the expedited nature of this project, the Client must respond within 3-4 hours during business hours (9 AM - 4 PM) throughout the designated design week. Failure to respond will incur a late fee of $150.
After the second occurrence of no communication, Olivia Belle Designs reserves the right to terminate the contract.
If the Client fails to respond within one day, a fee of $100 will be charged. After two days of no communication, the contract will be terminated.
Way of communication will be agreed upon during the first meeting
If chosen, Olivia Belle designs allows the client to have the option of personal phone numbers. After contracted time is completed, you are not allowed to reach out via phone number, use other communication such as social media or email.
5. COPYRIGHT OWNERSHIP AND MATERIALS PROVIDED BY CLIENT
The Client warrants that all materials provided (including text, photos, graphics, and other elements) are owned by the Client or are legally licensed for use.
Ownership of the final website and brand kit will be transferred to the Client upon full payment.
Olivia Belle Designs retains the right to use preliminary work, drafts, or design concepts for portfolio and marketing purposes.
6. CONFIDENTIALITY
Olivia Belle Designs agrees to keep all client information, such as account passwords and contact details, private and secure.
7. REVISIONS
The Client is entitled to two rounds of revisions during the design process.
Any additional revisions will be charged at $25 per hour.
8. Reviews, Testimonials, and Social Media Use
The client agrees to provide a review and testimonial about their experience working with the designer upon completion of the website. The client also grants permission for the designer to film and document the website design process for use on social media and other promotional platforms. This includes, but is not limited to, time-lapse videos, behind-the-scenes footage, or screenshots showcasing the progress of the website. The client understands that these materials may be shared publicly and used in the designer’s marketing efforts.
9. TERMINATION
Either Party may terminate this Agreement if deemed unsatisfactory by either party. In the event of cancellation due to lack of communication, fees as outlined in the Late Fees section will apply.
10. LIMITATION OF LIABILITY
Olivia Belle Designs is not liable for any loss, damage, or costs arising from third-party issues or unforeseen technical errors.
